Terms of use and user obligations

The user undertakes to use the website, as well as its content and services, in accordance with applicable legislation, generally accepted practices, and public policy.

The use of the website for unlawful or harmful purposes, whether against Divain Team, S.L. or third parties, or in any way that could damage, disable, overload, or prevent the normal operation of the website, is expressly prohibited.

Divain Team, S.L. guarantees that the content and services offered through the portal respect the principle of human dignity, the protection of youth and children, and non-discrimination on the grounds of race, sex, religion, opinion, nationality, disability, or any other personal or social circumstance.

These General Terms of Use of the website do not grant the user any intellectual or industrial property rights over the content (information, sound and image files, photographs, designs, etc.), ownership of which belongs to the entity or to duly authorized third parties. In particular, the user is prohibited from:

• The use of the content for any commercial or advertising purposes other than those strictly permitted.

• Its reproduction, publication, distribution, public communication, transformation or modification, in whole or in part, except with the prior written authorization of its legitimate owners or in cases permitted by law.

All content on this website, including, by way of example and without limitation, texts, images, photographs, designs, logos, distinctive signs, trade names, trademarks, models, industrial designs, structures, source code, databases, software and any other elements eligible for protection, is the exclusive property of divain. or is duly licensed to it, and is protected by national, European Union and international regulations on intellectual and industrial property. The reproduction, distribution, transformation, public communication, making available, extraction, reuse or any other form of exploitation, in whole or in part, of such content without the prior express written authorization of its owner is expressly prohibited. Access to the website does not, under any circumstances, entail any assignment, transfer, license or waiver of rights by its owner. You may use such material only in the manner expressly authorized by us or by those who granted us a license to use it. This shall not prevent you from using this website to the extent necessary to copy information about your order or your contact details.

Third-party intellectual property

Our website offers you various search mechanisms. On our page, you will be able to find your product divain. directly, by entering the specific Divain product they wish to purchase as the search term in the search field. They may also find price alternatives for other fragrances through the Price Comparison Tool governed by the section entitled «Price Comparison Tool» of this Legal Notice. Our commitment is to help our customers deepen their knowledge of the world of fragrance and enable them to identify, describe and freely choose their favorite fragrances at the best price.

The choice of search terms is made freely by the user. Divain Team, S.L. does not suggest, predetermine, induce or automatically complete such terms, nor does it propose third-party brands as search criteria. The fact that a DIVAIN product may eventually be offered as a result of such searches does not imply identity, exact reproduction, technical equivalence or objective similarity to third-party fragrances, nor does it constitute any guarantee of an identical or equivalent user experience, or any legal or business relationship whatsoever with the brand entered by the user.

As fragrances are products of an essentially sensory and subjective nature, olfactory perception is not a technical characteristic that can be objectively measured or verified according to standardized parameters. The comparison made by our Price Comparison Tool is therefore limited to price: an objective, quantifiable and verifiable datum in its own source.

Products marketed under the brand divain. are independent creations, developed using their own formulation, different ingredients and autonomous processes, without reproducing or purporting to reproduce compositions, formulas or protected know-how belonging to third parties.

Under no circumstances is there any commercial, corporate, contractual, licensing, sponsorship or other association between the brand's fragrances divain. and any third-party brands used as search criteria, which belong exclusively to their respective owners.

Our policy falls within the scope of lawful comparative information provided for in Article 10 of Law 3/1991 on Unfair Competition, insofar as it enables consumers to access useful and non-misleading references for making rational economic decisions, without creating any risk of confusion or association, or unduly exploiting the reputation of third-party brands.

Price Comparison Tool

Nature and sources of information

The website provides the user with a Price Comparison Tool for fragrances. The price information displayed comes from publicly accessible sources on the Internet -in particular, the websites of the selling establishments- and is collected by means of automated systems that read the public product pages of each establishment, without accessing restricted areas or circumventing technical measures, on a weekly basis (every 7 days). Each result indicates the date and time when the displayed price was collected. The information is provided for guidance purposes only. Prices may vary at each establishment depending on the time of consultation, current promotions and discounts, or applicable shipping costs; therefore, Divain Team, S.L. does not guarantee their accuracy or permanent updating. The user must verify the final price at the selling store before making the purchase; for this purpose, each result includes a direct link to the relevant establishment.

To enable a consistent comparison between products in different formats, the volume of the container, the product concentration and the price per millilitre are displayed next to each result, and the user may sort the results by either of the latter two criteria.

The third-party products whose offers are aggregated are original products, offered by establishments that market them with the consent of their respective proprietors.

Nature of the Comparison Tool

The Comparison Tool constitutes a general and permanent instrument for aggregating and arranging public prices: it is not an advertisement for a special offer or a one-off temporary promotion, nor is it subject to a start or end date.

With regard to the third-party products whose offers are aggregated, placed on the market in the European Economic Area by their proprietors or with their consent, the trademark right is exhausted in accordance with Article 15 of Regulation (EU) 2017/1001 and Article 36 of Law 17/2001 on Trademarks.

Identified advertising and main parameters for classifying the results

Among the results provided, the Comparison Tool always displays a recommendation for a fragrance from the DIVAIN brand, which sponsors the tool. This recommendation is advertising in nature and is in all cases identified by the wording “Sponsored link”, displayed visibly next to each recommendation, in compliance with Article 20.1 of Law 34/2002 (LSSI-CE), Article 26(2) of Law 3/1991 on Unfair Competition, Article 20(3) of the consolidated text of the General Law for the Protection of Consumers and Users, and Articles 26 and 27 of Regulation (EU) 2022/2065 on digital services.

In compliance with the duty to provide information set out in Article 20(3) of the consolidated text of the General Law for the Protection of Consumers and Users, users are informed that the classification of results is based on three successive criteria, whose relative importance is as follows: first, delimitation of the universe of results - based on the term entered by the user, the system determines an olfactory family and a notes profile in accordance with the generic industry taxonomy and selects the products falling within that category; this criterion determines which products are displayed, but not the order in which they are presented-; second, ordering - the results thus selected are ordered exclusively according to price, without any third party having paid any amount for its position in the list, and the user may alter that order using the alternative ordering criteria available-; and third, sponsored recommendation - regardless of the two preceding criteria, the Comparator displays, in a separate block, a recommendation of products from the brand divain., the sponsor of the tool, identified in all cases by the mention “Sponsored link”-. This information is also specifically and accessibly available in the Comparator’s results listing itself.

Links to third-party sellers do not generate any remuneration in favor of Divain Team, S.L.

Absence of equivalence claims

No expressions such as are used in any Comparator result “equivalent to”, “replica of”, “inspired by”, or “similar to”, nor any other term suggesting an imitation relationship between divain. products and the third-party products displayed.

The Comparator does not promote the marketing of fragrances through any assertion of equivalence with third-party brands, nor does it present DIVAIN products, directly or indirectly, as “dupes”, replicas, imitations, or inspirations of other products. The only characteristic compared between the products displayed is their price.

The general architecture of the interface does not lead users to understand that DIVAIN’s sponsored recommendation is an equivalent substitute for the fragrance sought, but rather a mere price alternative within the same olfactory universe.

Classification by olfactory notes

The classification of fragrances by “notes” used by the Comparator is a generic industry taxonomy, used exclusively as a tool for investigating user preferences, enabling users to search for price alternatives within generic fragrance categories. This classification does not define, describe, or compare the specific fragrances offered as results, nor does it imply identity, equivalence, or olfactory similarity between them, as olfactory perception is a subjective experience that cannot be measured according to objective parameters, as set out in the section “Third-Party Intellectual Property”.

This notes and olfactory family system constitutes a descriptive convention in widespread and cross-sector use throughout the sector's value chain - fragrance houses, professional associations, schools and conservatories, reference databases, brands and distribution - and there is no comparable alternative system or standard for sectoral nomenclature.

Third-party trademarks in the Comparator

The trademarks entered by the user as a search criterion in the Comparator belong exclusively to their respective owners. There is no connection, affiliation, licence, sponsorship or commercial or corporate relationship whatsoever between divain. and those trademarks. The only characteristic compared among the products displayed is their price, within the framework of lawful comparative information provided for in Article 10 of Law 3/1991 on Unfair Competition.

The brand entered by the user is used exclusively as a necessary reference to identify their preferences and define the range of products on which the price comparison is carried out. Its mention in the results is made solely for the purpose of identifying the products corresponding to their owners, in accordance with fair practices in industrial or commercial matters, under the terms of Article 14(1)(c) of Regulation (EU) 2017/1001 and Article 37.1.c) of Law 17/2001 on Trademarks.

The recommendation of divain. products is displayed under the brand divain. and does not incorporate any third-party distinctive sign. Results corresponding to third-party products are presented as offers from their respective selling establishments, identifying them and providing a direct link to each of them.

Comparator Links

The links that the Comparator provides to selling establishments are intended solely to enable users to access the corresponding offer and verify the price shown at its source. Divain Team, S.L. does not participate in the consumer relationship established by the user with such establishments, nor is it responsible for their contractual terms, delivery, warranty or after-sales service, without prejudice to the traceability, updating and correction commitments undertaken in the preceding sections.

Communications and requests for correction

Notification of infringements of intellectual or industrial property rights

If a user or a third party considers that their legitimate intellectual or industrial property rights have been infringed by the introduction of specific content on the website, they must notify Divain Team, S.L., stating:

• Details of the holder of the allegedly infringed rights or, where the claim is submitted by a third party other than the interested party, an indication of the capacity in which they act.

• Identification of the protected content and its location on the website, proof of the rights invoked and an express declaration in which the interested party assumes responsibility for the accuracy of the information provided.

Requests for the correction of prices and exclusion of offers

Any operator or rights holder who becomes aware of an error in a price displayed by the Comparator, or who wishes for the offers of their establishment to cease being aggregated therein, may send their request to divain@divainparfums.com, indicating the affected result and, where applicable, the correct information.

Divain Team, S.L. shall acknowledge receipt of the request and resolve it within a maximum period of 2 business days from receipt, informing the applicant of the action taken. This procedure is free of charge and does not require proof of ownership of any right when it relates exclusively to the correction of a price or the exclusion of the applicant's own offers.

Apart from the Comparator links, regulated in the corresponding section, this website provides links to other websites belonging to it and to content owned by third parties. The sole purpose of these links is to provide users with the possibility of accessing them, without Divain Team, S.L. being liable for any results that may arise from such access.

Any user intending to establish a technical linking device from their website to the portal must obtain the prior written authorization of Divain Team, S.L. The establishment of the link shall not imply, under any circumstances, the existence of any relationship between Divain Team, S.L. and the owner of the website on which it is established, nor the acceptance or approval by Divain Team, S.L. of its contents or services.

The website on which the link is established shall not contain any trademark, name, logo, slogan or other distinctive signs belonging to Divain Team, S.L., except those expressly authorized.

Unilateral modification, versions and duration

Divain Team, S.L. reserves the right to modify, at any time and without prior notice, the appearance and configuration of the website as well as this Legal Notice. Each version of this Legal Notice is identified by a number and date, which remain visible to the user, and remains accessible for as long as it is in force.

Divain Team, S.L. retains a copy of each published version and evidence of its publication date, in order to enable verification at any time of the text in force at a given time.

Exclusion of warranties and liability

Divain Team, S.L. does not guarantee the availability, continuity or proper functioning of the website, and shall in no event be liable for any damage or loss, of any nature, that may arise from:

• The lack of availability, maintenance and effective operation of the Internet access service, or interruptions to the network or any other reason beyond its control.

• The existence of viruses, malicious or harmful programmes in the content.

• The unlawful, negligent, fraudulent or contrary to these terms, good faith, generally accepted practices or public policy use of the website, its services or content by users.

All of the foregoing is without prejudice to the rights that consumer and user protection legislation recognises as non-waivable for users who have such status, and without prejudice to the provisions of the "Price Comparison" section regarding price information.

Processing of personal data

Divain Team, S.L., as stated in its "Privacy Policy", which may be consulted on this website, has adopted security measures appropriate to the data it processes and manages, incorporating all technical means and measures within its reach to guarantee its confidentiality and prevent its misuse, loss, alteration, unauthorised access and theft.

Applicable law and jurisdiction

Spanish law shall apply to the resolution of all disputes or matters relating to this website or the activities carried out through it, and the parties expressly submit to such law.

The Courts and Tribunals of the user's domicile shall have jurisdiction where the user has consumer status, in accordance with Article 90.2 of the consolidated text of the General Law for the Defence of Consumers and Users. In relations between business operators, and unless a mandatory or exclusive jurisdiction applies, the Courts and Tribunals of Madrid shall have jurisdiction.
